Bkper Partner Program Terms

Pre-launch notice: The Partner Program is not generally available yet. These draft terms preview the intended program structure so potential partners can review and give feedback. Participation, commission tracking, and payouts begin only when the program is enabled in Bkper and you accept the final terms in your account.
These Partner Program Terms apply to participation in the Bkper Partner Program. They supplement the Bkper Terms of Service and Privacy Policy. If these Partner Program Terms conflict with the Bkper Terms of Service for partner-program matters, these Partner Program Terms control for that matter.
By participating in the Bkper Partner Program, referring someone to Bkper, using a partner link, accepting partner-program terms in Bkper, or receiving partner compensation from Bkper, you agree to these terms.
Program summary
The Bkper Partner Program is a recurring revenue-share program for people who help others adopt Bkper.
The program has two automatic compensation levels:

There is no third layer. Partner compensation is paid by Bkper and does not change the customer’s subscription price.
Who can participate
Anyone with a Bkper account may be referred and may refer others. The program is designed for accountants, bookkeepers, CPAs, EAs, consultants, advisors, operators, and other people who help businesses or professionals adopt Bkper.
Referral tracking may occur before payout eligibility. Payout requires the requirements listed in these terms.
Referral attribution
Each individual may have one current referrer or partner-of-record.
Referral attribution may be created through a partner or referral link, Book sharing, manual customer request, or other Bkper product flows. Automatic attribution only fills an empty referrer. It does not silently replace an existing referrer.
If one user shares a Book they own with another user who has no current referrer, the sharing user may become that user’s referrer.
A referred individual may request to change or remove their referrer. Changes apply prospectively only. Past commission events are not reassigned unless Bkper determines that the original payment or attribution was refunded, credited, charged back, fraudulent, abusive, invalid, or otherwise not eligible.
Referral relationships do not expire solely because of time.
Commissionable revenue
If a referred customer pays Bkper for a Bkper subscription, the partner-of-record may earn commission on the subscription portion of that payment.
Commissionable revenue includes Bkper subscription revenue, including higher-volume or professional subscription tiers, unless a separate written agreement says otherwise.
The following are excluded from commission:
- taxes;
- refunds;
- credits;
- chargebacks;
- fraudulent, abusive, or invalid payments;
- separately billed Bkper professional services;
- hourly consulting;
- support packages;
- app development;
- integrations;
- implementation;
- training;
- other separately billed services.
If a custom contract bundles subscription and services, only the Bkper subscription portion is commissionable unless a separate written agreement says otherwise.
Commission lifecycle
Commission events may have the following states:

| Pending | Commission was tracked from a customer payment but is still inside the clearing window. |
| Payable | The clearing window passed and the commission is eligible for payout if payout requirements are met. |
| Paid | Commission was paid out. |
| Reversed | Commission was reversed due to refund, credit, chargeback, fraud, invalid attribution, abuse, or another ineligible condition. |
Commission is created as pending when Bkper collects the customer payment. Pending commission becomes payable after a 30-day clearing period if it is not reversed.
Refunds, credits, and chargebacks reverse related commissions. If a commission has already been paid and the related payment is later refunded, credited, charged back, or found invalid, Bkper may deduct the reversed amount from future payable balances or request repayment.
Annual subscription commissions are calculated on the collected annual subscription amount and become payable after the clearing period. If the annual subscription is later refunded, credited, or charged back, related commissions are reversed.
Partner Ready
Partner Ready is the readiness gate for payouts and official Bkper Partner status.
To be Partner Ready, a partner must meet all of the following:
- 45 days since Bkper signup;
- 180 posted transactions in Bkper;
- shared at least one Book they own.
Referral links and automatic tracking may work before Partner Ready. Commissions may be tracked before Partner Ready. Payouts and any Bkper Partner badge or official partner status are locked until Partner Ready is complete.
Before Partner Ready, you may say that you use or recommend Bkper, but you must not present yourself as an official Bkper Partner.
Payout requirements
To receive a payout, you must have:
- Partner Ready status;
- accepted the Partner Program Terms;
- valid payout details;
- provided any tax, identity, or compliance information Bkper or its payout provider reasonably requires;
- a payable balance with an expected net payout of at least USD $100 or local equivalent after known third-party fees;
- no active suspension blocking payout.
Payouts are monthly. Payable balances carry forward until payout requirements are met.
Partners are responsible for third-party payout, wire, foreign-exchange, intermediary bank, and payment-provider fees. Fees are deducted at actual cost and are not marked up by Bkper.
Payout availability may vary by country, payment provider, regulatory requirement, tax requirement, or compliance requirement.
Customer control and disclosure
The referred customer or individual controls their current partner-of-record.
Bkper may show the customer their partner-of-record and a disclosure that the partner may receive compensation from Bkper if the customer maintains a paid subscription. Bkper may also disclose that the partner who introduced the direct partner may receive a mentor bonus. This disclosure does not change the customer’s subscription price.
Partners must make any disclosures required by their professional, ethical, legal, regulatory, employer, or client obligations when recommending Bkper.
Privacy and visibility
Bkper may show partners limited information about their direct referred relationships, such as display name, company name, profile picture or logo, relationship status, and commission totals generated where relevant.
Bkper does not show email addresses, billing details, or private Book data by default.
For second-layer mentor-bonus activity, Bkper may show aggregate information, such as the number of customer referrals generated by a directly referred partner and the mentor bonus generated. Bkper does not show individual second-layer customer identities by default.
Abuse and exclusions
Bkper does not pay commissions for:
- self-referrals;
- circular referral chains;
- same controlled account or entity abuse;
- fraudulent attribution;
- misleading or non-compliant referrals;
- refunded, credited, or charged-back payments;
- taxes;
- separately billed Bkper professional services.
Partners must not:
- impersonate Bkper;
- claim to be Bkper employees or agents;
- make misleading claims about Bkper;
- misrepresent their relationship with Bkper;
- use deceptive, coercive, or non-compliant referral practices;
- violate client confidentiality or professional obligations when recommending Bkper.
Bkper may review, suspend, reverse, withhold, or decline commissions if Bkper believes there is fraud, abuse, invalid attribution, legal risk, policy violation, professional-ethics concern, or other behavior inconsistent with the program.
Suspension and termination
If a partner is suspended, new accruals and payouts may be paused while Bkper reviews the issue. If the review clears the partner, valid commissions may resume or unlock. If abuse or ineligibility is confirmed, invalid commissions may be reversed.
Bkper may terminate or modify a partner’s participation in the program if the partner violates these terms, violates Bkper’s Terms of Service, creates legal or compliance risk, or acts in a way that harms customers, Bkper, or the integrity of the program.
Rate and program changes
Bkper may change commission rates, payout rules, eligibility rules, or other program terms prospectively with notice. Already accrued commissions are protected unless they are reversed under these terms. Commissions already generated from a collected annual payment are not recalculated because of a later rate change.
Future payments may use updated rates or terms after notice. Commission events may be tied to the applicable terms or rate version for auditability.
No agency
Participating in the Bkper Partner Program does not make you a Bkper employee, contractor, legal representative, franchisee, agent, or reseller. You may not bind Bkper, make promises on behalf of Bkper, or represent that you have authority to act for Bkper.
